William Bandon
Bill Bandon is an experienced technology transactions lawyer and shared services counsel, with particular focus on global financial services. He offers unique experience in transitional services and integration agreements for divestitures and acquisitions, multinational operational and supplier risk management and operational resilience, and complex global IT and business process outsourcing, particularly for consumer and commercial lending.
As the lead executive in-house technology and operations counsel for a major financial institution, he established a global Center of Excellence for shared legal support of technology, sourcing and operations. In one notable transaction, he led the legal project which scoped, procured and launched in only 14 months the multi-vendor integrated capability to originate, process and service private label credit cards for major U.S. retailer in China.
In addition to global agreements with enterprise software licensors and material outsourced service providers, Bill was responsible for assisting in the formulation of, and the legal documentation for, the third party supplier management portions of the financial institution’s recovery and resolution plans.
Bill also focused on the information technology and transition services aspects of the divestiture of over $300 billion in financial institution businesses and assets around the world in over 120 major transactions. Bill’s work has resulted in a unique best-practice toolkit of agreement and diligence templates for services and software entitlements supporting both divestitures as well as acquisitions and joint ventures. He is acknowledged to have unparalleled skills in transition services practice.
